These terms govern your access to and use of the Freight Astro website and platform. Please read them carefully, especially the sections on the nature of the service, disclaimers, and liability.
These Terms and Conditions (the "Terms") govern your access to and use of the Freight Astro website at freightastro.com, the platform at app.freightastro.com, and related services (together, the "Service"), provided by Freight Astro ("we", "us", or "our").
By accessing or using the Service, requesting or accepting access, or clicking to accept these Terms, you agree to be bound by them. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree, you must not use the Service.
We may update these Terms from time to time. Material changes take effect 30 days after we post the updated Terms or otherwise notify you. Continued use after changes take effect is acceptance of the updated Terms.
Freight Astro is an intelligence system that identifies and ranks Australian companies most likely to ship freight, for use by B2B sales teams. The marketing website is open to the public and describes the product. The platform is closed and invite-only, and is available only to authorised users at clients we have approved.
We may modify, add to, or discontinue features at any time. We will use reasonable efforts to give notice of material changes that adversely affect paying clients.
The platform is for business use by approved clients only. Access is granted by invitation, is tied to your account, and may not be shared. You are responsible for keeping your credentials secure, for all activity under your account, and for ensuring everyone you allow to use your account complies with these Terms. You must notify us promptly of any unauthorised access. We may verify eligibility, decline access, and revoke access at our discretion.

The Service, including the platform, software, compiled datasets, ranking and scoring methodology, interface, documentation, and the Freight Astro name, logo, and brand, is owned by Freight Astro or its licensors and is protected by intellectual property laws.
Subject to these Terms and any applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable right to access and use the Service for your internal business purposes. You may use outputs within your own sales workflows, but you may not extract, copy, or redistribute the underlying compiled dataset in whole or in substantial part, or use it to train or build a competing dataset, without our prior written permission. You retain ownership of content you submit and grant us a non-exclusive licence to use it to provide and improve the Service. If you give us feedback, you grant us a perpetual, royalty-free licence to use it.
Please read this section carefully. Freight Astro produces intelligence and rankings from public sources, licensed feeds, and computational logic. Rankings, scores, and likelihood signals are estimates and predictions, provided for informational and decision-support purposes. They are not statements of fact about any company’s actual freight activity, contracts, or intentions, and they are not a guarantee that any company will or will not ship freight or become a customer.
Any representative figures, sample funnels, or results shown on the marketing website are illustrative only. They are examples of how the Service can perform, not promises or projections of the results you will achieve, which depend on factors outside our control.
A useful result depends on current data. Public sources change, so signals can be incomplete or out of date despite our efforts to keep them fresh. You are responsible for reviewing outputs and applying your own judgement before contacting any company or acting on a ranking. The marketing content and platform data are provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any ranking, score, signal, or representative figure is accurate, complete, current, or suitable for your purposes.
Nothing in these Terms excludes any consumer guarantee or right under the Australian Consumer Law or other law that cannot lawfully be excluded. Where such a guarantee applies and can be limited, our liability for breach is limited, at our option and to the extent permitted, to re-supplying the relevant service or paying the cost of having it re-supplied.
To the fullest extent permitted by law, Freight Astro will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profit, revenue, business, goodwill, sales opportunity, or data, arising out of or in connection with your use of or reliance on the Service or any output, whether based in contract, tort (including negligence), or any other theory.
We have no liability for loss arising from reliance on a ranking or signal you have not independently verified, from outreach decisions you make using the Service, or from the acts of any company contacted or other third party. Responsibility for how you use outputs rests with you. Where the law does not allow certain exclusions, our liability is limited to the maximum extent permitted, and nothing in these Terms limits liability that cannot be limited by law.
You agree to indemnify and hold harmless Freight Astro and its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your breach of these Terms, your violation of any law or third-party right, your content, or any claim arising from how you used outputs you obtained from the Service, including your sales and marketing activity.
You may stop using the Service at any time, and may terminate a paid subscription in accordance with your plan. We may suspend or terminate your access if you breach these Terms, if required by law, to protect the Service or others, or where your eligibility for invited access ends. On termination your right to use the Service ends. Sections that by their nature should survive, including acceptable use, intellectual property, nature of the service, disclaimers, liability, and indemnity, will survive.
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-laws rules. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales. Before starting proceedings, the parties agree to attempt in good faith to resolve any dispute informally. Nothing here prevents either party from seeking urgent injunctive relief.
These Terms, together with any plan, order, or policy referenced in them, are the entire agreement between you and Freight Astro about the Service. If any provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control.
